PASAL REAL ESTATE DEVELOPMENT S.A.

PASAL Development SA announces that the consolidated profit after tax and minority interests for the fiscal year 2009 totaled 21,8 mio losses compared to profits of 19,9 mio for the fiscal year 2008. This change is mainly due to impairment losses on assets which for 2009 amounted to euro 10,2 mio from fair value adjustments of investment property at fair value, and to euro 5,9 mio from the write off of subsidiary goodwill against profits of euro 29,2 mio gains from fair value adjustments in 2008. The results after taxes were charged with an additional euro 3,6 mio from the imposition of emergency tax. Operating income of the group, from rents and services, in 2009 amounted to euro 10,3 mio compared to euro 4,1 mio in 2008, increased due to the operation of the Athens Heart shopping mall. Net Asset Value before deferred taxation (NAV) at 31/12/2009 stood at euro 95,6 mio versus euro 121,5 mio on 31/12/2008, while Net Asset Value after deferred taxation (triple net NAV) amounted to euro 79,2 mio, or euro 5,29 per share, compared with euro 6,75 on 31/12/2008. The value of group investment properties at 31/12/2009 was euro 199,7 mio compared to euro 210,6 mio at 31/12/2008. The investment properties portfolio of the group includes operating investment and properties under development. The group's net debt (loans minus cash) at the end of 2009 amounted to euro 128,0 mio compared to euro 134,6 mio at 31/12/2008, while the Loan To Value ratio after the write offs was 52,3%, compared to 48.8% for 2008. The company continues to implement its business plan, taking into account the financial conditions and addressing business risks. In this context during 2009, PASAL: - Completed the construction of the building complex for commercial use on Alimou Ave. with a gross lettable area (GLA) of 4.500 sqm, which started operations and has been sold during December 2009. - In the Athens Heart mall, which is the biggest company asset, PASAL continued investing in the promotion and strengthening of traffic. The company took over the management of the mall hiring skilled personnell and investing in expertise through cooperation with specialized partners. At the same time, PASAL examines the expansion of the mall through the development of adjacent company plots, which will only start when binding lease agreements are concluded. The Athens Heart mall, although started operating in a difficult period for the retail business, is constantly increasing traffic and sales turnover, based on the strong brand-names in clothing and technology it houses, and is firmly established as a shopping and entertainment destination. It should be mentioned that for the period December 2009 to February 2010, where prior year comparables exist, the tenants sales were increased by 15% despite the declining in the retail market. Despite the short operation period, Athens Heart has not presented any operational problem and has no pending legal issues, thus presenting a high level investment product. - Continues with the planning for a recreational and commercial development on the 80.000 sqm land plot situated in the area of N. Lampsakos, in Halkida. - The company has a strategic participation in TRASTOR REIC, thus creating synergies and hedging the real estate development risks. PASAL will continue to support TRASTOR, which recently completed its internal staffing, creating the foundation for the implementation of a dynamic investment strategy aiming at the company development, the increase of its profitability and the expansion of the existing portfolio.

According to the provisions of L.3556/2007 (articles 3 (xvi), (bb) and 21), in conjunction with article 11 of Decision 1/434/3.7.2007 of the Capital Markets Commission, Proton Bank reports that Mr. Theodoros Asimakopoulos, Non-Executive Member of the BoD of the company, on April 14th 2010, acquired 46,358 common registered shares of Proton Bank S.A. of a total net value of Euro 61,731.14 .

MARFIN INVESTMENT GROUP HOLDINGS S.A.

- Disposal of Vivartia's Bakery and Confectionery division for euro 730m to a consortium of investors led by the Olayan Group and Spyros Theodoropoulos - Completion of restructuring of current investments - Focus on pursuing new investment opportunities ATHENS - Marfin Investment Group (MIG) announced today its agreement to dispose of 100% of Vivartia's Bakery and Confectionery business, which will be spun-off to form a new company under the name of Chipita, to a consortium of investors led by the Olayan Group and Spyros Theodoropoulos, the current CEO of Vivartia, for a total consideration of euro 730m, of which euro 327m is debt that will be assumed by the new company. The consideration implies a 12.6x 2009 EV/EBITDA multiple for the transaction, representing a significant premium to current market trading levels as well as comparable transaction multiples. The transaction is expected to be completed by July 2010, following conclusion of the legal separation of the Bakery and Confectionery division from the rest of Vivartia's businesses. Furthermore, for a period of 4 years, MIG and Vivartia retain the option to acquire back up to 30% of Chipita at the disposal price increased by 10% in the first year and by 5% for each subsequent year. In addition, for a period of 5 years, MIG and Vivartia will retain a 30% profit sharing upside resulting from any potential disposal of Nonni's, the US subsidiary of the Bakery and Confectionery business. This transaction represents a significant positive impact on both Vivartia's and MIG's balance sheets. Following completion of the transaction, Vivartia's net debt will be decreased from euro 891m at the end of 2009 to euro 293m, representing a reduction of euro 598m. euro 327m of this debt will be assumed by Chipita, while the remaining deleveraging will be accomplished through utilisation of the transaction proceeds significantly reducing the company's and the group's exposure to risk during this difficult and turbulent period for the Greek economy and the markets in general. In addition, Vivartia will retain substantial liquidity to be used for further growth of its remaining operations. Finally, it is estimated that the transaction will generate yearly interest expense savings of at least euro 25m, significantly strengthening both Vivartia's and MIG's profitability going forward. In the new Board of Directors of Vivartia, which has been promptly restructured, Andreas Vgenopoulos has become the company's Chairman and Dennis Malamatinas has assumed the position of Chief Executive Officer while Spyros Theodoropoulos remains on the board as a non-executive member. Commenting on the announcement, Dennis Malamatinas, MIG's CEO, stated, "We believe that this transaction provides Vivartia with the opportunity to significantly deleverage its operations during difficult economic times, while enabling MIG to complete a significant disposal at very attractive valuations despite the current state of the economy and markets. This transaction will enhance our liquidity and reduce our exposure to economic risks, while allowing MIG to retain profit upside in Chipita for the short and medium-term future. This transaction marks the completion of our planned strategic initiatives in relation to our existing portfolio companies and based on our strong capital structure and our enhanced liquidity position we can now focus on pursuing new investment opportunities taking into account the current risks and dangers facing the Greek economy."
