| The sharp decrease in property prices led to losses for Eurobank Properties in the first half of 2012. Trading discount at 64% of NAV. The significant decrease in the fair value of the Company's property portfolio during the first half of 2012 by euro 46.1m compared to euro 11.8m in the previous period, led to losses of euro 27.1m compared to profits of euro 8.2m. This significant decrease in property value is due to the impact of the escalating macroeconomic problems in the market in general and in particular the real estate market by pushing both prices and rents downwards. Excluding fair value losses, net profit after tax amounted to euro 19m. compared to euro 20m. of the previous period. A summary of the Company's operational results compared to the previous period are as follows: 1. Rental income net of provisions for bad debt decreased by 9% from euro 21.8m to euro 19.8m. 2. Interest income increased by 19% from euro 3.7m. to euro 4.4m. as a result of higher interest rates and successful cash management. 3. Operating expenses decreased by 11% from euro 1.8m. to euro 1.6m. as a result of management successful efforts to reduce costs, for the fourth consecutive year. 4. Interest expense decreased by 14% from euro 2.1m. to euro 1.8m. as a result of lower outstanding loans and the decrease in Euribor rates. 5. Taxes increased by 13% from euro 1.5m. to euro 1.7m mainly due to the recognition of extraordinary tax on property. The basic ratios of the Company are formulated as following: - Current ratio: 7.5x vs. 11.8x - Debt to total Assets: stable at 13% - Loans to Value (LTV): 15% vs. 14% - Funds from Operations (FFOs): euro 19m. vs. euro 20.1m. As at June 30, 2012 cash and short term deposit amounted euro 146m vs. euro 144m as at June 30, 2011 while outstanding loans amounted to euro 85.6m vs. euro 87.9m for the respective periods. NAV as at June 30, 2012 decreased to euro 630m or euro 10.32 per share compared to euro 11.24 as at June 30, 2011. The decrease is mainly due to the decrease in the fair value of investment property. Based on current share price the Company is trading at approximately 64% discount of its NAV. |

| 1st Semester 2012 Financial Results of F.G. EUROPE S.A. Group Significant increase in Profitability Significant increase in Revenues arising from energy sector. In the 1st semester 2012, Net Profit of FG EUROPE S.A. amounts to euro 4.31m, presenting a 32.67% increase against company's Net Profit in the 1st semester 2011 (euro 3.25m). In 1st quarter 2012, Company's revenues, arising from the energy sector, are significantly increased by 126.52% and accounting for euro 6.5 m (euro 2.87m in the 1st Semester 2011). Said increase in revenues from the energy sector boosts Net Profit of the Group to euro 5.42m, presenting a 44.5% increase comparing to Group's Net Profit in the 1st semester 2011 (euro 3.75m). At the Parent Company Level: Company's Total Sales account for euro 51.53m in the 1st semester 2012, presenting a 3.82% decrease against company's total sales in the 1st semester 2011 (euro 53.58m) For the same period, total sales of air conditioners remain almost at the same level as a year before, accounting for euro 49.34m (euro 50.12m in 2011). Air conditioners exports slightly increase by 1%, amounting to euro 37.83m in the 1st semester 2012 (euro 37.28m in 1st semester 2011). The retention of elevated air conditioners exports leads the exports of FG EUROPE S.A. to cover 76.77% of sales of air conditioners (74.38% in 1st semester 2011) and 73.40% of Company's Total Sales (69.58% in 1st semester 2011). Despite the slightly increasing demand for LCD in recent months, mainly due to the significant sporting events (Olympic Games - Euro) in summer 2012, sales of SHARP products are still considerably affected by the financial crisis in the domestic mark, taking into consideration that Sharp products are mainly addressed to the Hi - End consumer Market. Sales of ESKIMO products present a significant increase by 98% in the domestic market, accounting for euro 0.65m, as a result of a complete renewal of its product range which began in 2011, offering at the same time top quality products at very affordable prices. Despite the decrease of Company's Total Sales, Gross Profit of FG EUROPE S.A presents an upward movement of 1.08% in the 1st semester 2012 and accounts for euro 14.09m, against euro 13.94m in the corresponding period 2011, attributable to changes in its mix of sales. Gross Profit Margin (G.P.M.) increases at 27.33% comparing to the G.P.M of 26.01% in the 1st semester 2011. At the Group Level: In the 1st semester 2012, Group's Total Sales account for euro 58.07m, increased by 2.69% against the Total Sales in the 1st semester 2011 (euro 56.55m) as a result of the increase in revenues arising from the energy sector. Revenues from the energy sector amount to euro 6.5m in the 1st semester 2012, presenting a considerable increase against the corresponding revenues in 2011 (euro 2.87m), due to the fact that in December 2011, AIOLIKI ADERES S.A. which is a 100% subsidiary of RF ENERGY S.A., completed the implementation of 3 new wind parks of 33 MW nominal power. Gross Profit of the Group accounts for euro 17.64m, presenting an upward movement of 14.12% (euro 15.45m in 2011), while its G.P.M rises to the level of 30.37% against 27.33% in the 1st semester 2011, due to the said increase in revenues from the energy sector. ?BITDA amounts to euro 11,23m against euro 6.57m in the 1st semester 2011, while the index EBITDA over Sales rises to the level of 19,34% against 11,62% a year before. Despite the increase in total Revenues, Group's General Expenses (Administration - Distribution - other costs) are decreased by 10.73% to euro 8.41m from euro 9.42m in the 1st semester 2011, exclusively due to rationalization of all companies' costs and without proceeding with job cuts and reduction of salaries, improving at the same time the index General Expenses over Sales to the level of 14.49% (16.66% in the corresponding period in 2011). The negative financial result of the Group amounts to euro 2.42m against euro 1.55m in the corresponding period 2011, increased by 56.27%. Said increase comes as a result of the performance of RF ENERGY S.A. and its subsidiaries which proceeded with the rise of their long term debts, in order to finance the development of their new wind parks. Despite the financial crisis in the domestic market, the companies of the Group retain a satisfactory liquidity, as the Group Cash and Cash Equivalents account for euro 22.27m (euro 34.46m in 31/12/2011). The liquidity of the Group is estimated to be significantly improved in the 2nd semester 2012, presenting also a positive effect in its financial result, taken into consideration that the Group is going to: a) receive almost 6 months outstanding payments of euro 6.1m from the Operator of Electricity Market for the energy sold, b) receive subsidy payments of euro 15.92m from the state, according to the provision of the investment law 3299/2004 for the construction of the 3 new wind parks c) collect a large part of trade and other receivables, which are significantly increased due to elevated Sales of the Parent Company in recent months. As at 30/06/2012, Total Liabilities of the Group amount to euro 167.17m, significantly increased from euro 146.45m in 31/12/2011, mainly due to the increase in trade and other liabilities of the Parent Company (prolongation of suppliers time repayment) and the increase in long and short term bank debt, risen by Group's subsidiaries which perform in the energy sector. EBT, considerably increased by 53.29%, rise to euro 7.11m against euro 4.64m received in the relevant period 2011, improving the performance of the index EBT/SALES at the level of 12.24% against 8.20% in the 1st semester 2011. Group's Net Profit after Taxes and Minority Rights presents an upward movement of 38.62%, accounting for euro 4.81m against euro 3.47m in the 1st semester 2011. ( "Dias") informs the investing public that the Dias on 30.7.2012 has concluded of a preliminary contract with Mr. Georgios Varvatsoulis (the "Buyer") regarding the sale of its participation into the company Zoonomi S.A. (the "Company") More particularly, the company "Dias" has agreed to sale and transfer to the Buyer (and/or any third parties indicted by him) 51% of the Company share capital until 31/101/2014 for the total purchase price of of 2,250,000Euro. The final shares purchase agreement will be executed on 30/10/2014, subject to the fulfillment of certain conditions. The above mentioned amount will be paid by the counterparty in installment form 30.7.2012 until 30.10.2014. As of today, Dias participation into the Company's share capital corresponds to 25.8%. Dias is expected by end of October 2014 to have acquired additional Company's shares corresponding to the 25.2% of the Company's share for the purchase price which shall not exceed the amount of 500,000. The above mentioned move has been concluded within the context of the strategic choice of the new management to disinvest from the sector of the fish feed production and to focus on the main business section of aquaculture/fish farming, which is considered as one of the more continuously competitive, developing and profitable sectors. |
